1. Acceptance of Terms

By accessing, browsing, or using the Gensar IT Solution website (gensar-website.vercel.app) and associated digital platforms, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any provision of these terms, you must immediately discontinue use of our website and services.

These Terms constitute a legally binding agreement between you and Gensar IT Solution Private Limited ("Gensar," "we," "our," or "us"), a company incorporated under the Companies Act, 2013 of India, with registered offices in Hyderabad, India and operational presence in Bangalore, Reston (USA), and Dubai (UAE).

2. Scope of Services

Gensar provides professional services across multiple business verticals:

  • IT Consulting & Development: Custom software development, cloud architecture, DevOps engineering, AI/ML solutions, data analytics, QA automation, and digital transformation advisory
  • Staffing Solutions: IT and non-IT talent acquisition, contract staffing, permanent placement, executive search, and managed workforce services
  • Healthcare Operations: Medical billing, medical coding (ICD-10/CPT/HCPCS), clinical data management, revenue cycle management, and healthcare compliance consulting
  • Corporate Training: Professional development programs, internship placements, certification courses, and skills enhancement workshops
  • BPO/KPO Services: Business process outsourcing, knowledge process outsourcing, back-office operations, and customer experience management

All service engagements are governed by separate Statements of Work (SOW), Master Service Agreements (MSAs), or staffing contracts executed between Gensar and the respective client. These website terms do not override the specific contractual terms of any active service engagement.

3. Website Usage & Permitted Conduct

You agree to use our website solely for lawful purposes and in compliance with all applicable local, national, and international laws. You expressly agree NOT to:

  • Submit false, misleading, or fabricated information through any form, application, or registration portal
  • Upload, transmit, or distribute malicious software, viruses, Trojan horses, or any code designed to disrupt, damage, or gain unauthorized access to our systems or data
  • Attempt to probe, scan, or test the vulnerability of our website infrastructure without written authorization from Gensar
  • Use automated scripts, bots, scrapers, or data mining tools to extract content, candidate data, or proprietary information from our website
  • Impersonate another individual, organization, or Gensar employee to gain unauthorized access to restricted areas
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of our website content for commercial purposes without express written permission
  • Use our website in any manner that could damage, disable, overburden, or impair its functionality

4. Intellectual Property Rights

All content displayed on this website — including but not limited to text, articles, graphics, logos, trademarks, service marks, trade names, page headers, button icons, scripts, audio clips, digital downloads, and data compilations — is the exclusive property of Gensar IT Solution Private Limited or its licensors and is protected by Indian copyright law (Copyright Act, 1957), international copyright treaties, trademark laws, and other intellectual property legislation.

Nothing in these Terms grants you any right, title, or interest in any content, design, code, software, or proprietary material owned by Gensar. Any unauthorized reproduction, distribution, modification, or creation of derivative works is strictly prohibited and may result in civil and criminal liability.

5. Job Applications & Recruitment

By submitting a job application, resume, or candidate profile through our website or recruitment portals:

  • You represent that all information provided is accurate, complete, and current
  • You authorize Gensar to verify your employment history, educational qualifications, professional certifications, and conduct background checks through authorized third-party agencies
  • You consent to the processing of your personal data as described in our Privacy Policy
  • You acknowledge that submission of an application does not guarantee employment or a response from Gensar
  • Gensar reserves the right to retain candidate profiles for up to 24 months for matching with current and future client requirements
  • For medical billing and coding positions, you consent to verification of relevant certifications (CPC, CCS, RHIA, etc.) with issuing bodies

6. Client Obligations

Clients engaging Gensar's staffing or consulting services agree to:

  • Provide accurate and complete project requirements, job descriptions, and candidate specifications
  • Maintain confidentiality of all candidate profiles and proprietary information shared by Gensar
  • Process payments in accordance with the agreed payment terms in the applicable MSA or staffing contract
  • Comply with all applicable labor laws, employment regulations, and workplace safety requirements for placed candidates
  • Refrain from direct solicitation or hiring of Gensar-provided personnel outside the agreed engagement without applicable conversion fees

7. Confidentiality & Non-Disclosure

Both parties (Gensar and its clients/candidates) are bound by mutual confidentiality obligations. Any proprietary business information, trade secrets, technical data, client lists, pricing structures, or unpublished business strategies shared during the course of an engagement shall remain strictly confidential and may not be disclosed to third parties without prior written consent.

For healthcare operations (medical billing, medical coding, clinical data management), all Protected Health Information (PHI) is handled in strict compliance with HIPAA regulations, and appropriate Business Associate Agreements (BAAs) are executed with all healthcare clients.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Gensar IT Solution shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of our website or services
  • Our total aggregate liability for any claims arising out of or relating to these Terms shall not exceed the total fees paid by you to Gensar in the twelve (12) months immediately preceding the event giving rise to the claim
  • Gensar makes no warranties regarding website availability, error-free operation, or uninterrupted access — the website is provided "as is" and "as available"
  • We do not guarantee the accuracy, completeness, or timeliness of any information, job listings, or content displayed on our website

9. Indemnification

You agree to indemnify, defend, and hold harmless Gensar IT Solution, its directors, officers, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising from or related to your use of the website, violation of these Terms, infringement of any third-party rights, or submission of false or misleading information.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

For international clients and engagements, disputes may be resolved through binding arbitration conducted in accordance with the Arbitration and Conciliation Act, 1996 (India), with the seat of arbitration in Hyderabad.

11. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

12. Modifications to Terms

Gensar reserves the right to modify, amend, or replace these Terms at any time at its sole discretion. Material changes will be communicated via email notification to registered users and prominently displayed on our website with an updated "Last Updated" date. Your continued use of the website following such changes constitutes acceptance of the revised Terms.
